Recently, Amper, a listed technology company in Spain, made an offer to acquire some of Zeleros' business assets. Zeleros, a Spanish start-up focusing on the research and development of "Hyperloop" technology, aims to integrate the technical resources of both parties and promote the sustainable development of related businesses.

It is reported that Amper has submitted the relevant acquisition plan to the Commercial Court No. 3 of Valencia, Spain. According to the document, the company plans to achieve technical synergies through this acquisition to ensure the continuation of Zeleros' core business.

Founded in Valencia, Spain, Zeleros has received support from investors including Juan Roig, Chairman of Mercadona, CAF Group, and Acciona, to develop a Hyperloop system based on high-speed vacuum pipeline transportation. However, with the closure of Hyperloop One in the United States, global investment in related fields has shrunk significantly, and Zeleros has gradually adjusted its strategy in recent years, shifting some of its technologies to more promising areas such as batteries.

According to the acquisition plan, Amper's assets include Hyperloop propulsion systems, electromagnetic emission technology and battery-related technologies, as well as a number of joint R&D projects in which Zeleros participates, such as Meridian, Latitude, Azimut and E-Tower. In addition, Amper has expressed an intention to acquire all of its software products DashVolt and battery company Battera Technologies.

Amper said that in the future, it will formulate development plans around two major directions: on the one hand, apply Hyperloop-related electromagnetic emission technology to the company's existing business areas; On the other hand, it integrates Zeleros' battery technology into its own energy management and energy storage business system.

It is worth noting that this acquisition also serves Amper's strategic layout in the field of security and defense. The company plans to use relevant technical capabilities to expand its business in the fields of naval platforms, tactical communications, network defense, optoelectronic systems and command and control.

Currently, Zeleros has entered bankruptcy proceedings and is supervised by a court-appointed administrator. The company said that the R&D cycle of Hyperloop technology is long, and the project promotion has been affected to a certain extent in the context of the tightening global financing environment. If successfully completed, this acquisition will help ensure the continuation of the company's technological achievements and maintain the stability of existing customer cooperation and employee team as much as possible.

It is understood that Amper's proposed acquisition amount is less than 1 million euros, and the payment method includes cash payment and undertaking part of the debt (such as employee compensation and social security, etc.), as well as the treatment of supplier debt and transitional financing. 、

Industry insiders believe that this transaction marks that Hyperloop technology has entered a stage of adjustment after the ebb of capital, and also reflects the transformation of related core technologies to more realistic application scenarios such as energy and defense.
